Do US LLCs Need to File Taxes If They Made $0? (2026)

In most cases, yes — $0 in revenue does not mean $0 in filings. A foreign-owned single-member US LLC must file a pro-forma Form 1120 with Form 5472 even with zero income, and skipping it carries a $25,000 IRS penalty. State annual reports and fees are also due whether you earned anything or not.

“Zero revenue” and “zero obligations” are different things. The IRS cares about your LLC’s existence and ownership structure, not just its income — and the states care about their annual fees.

What must a foreign-owned LLC file at $0 revenue?

A single-member LLC owned by a nonresident alien is treated as a “disregarded entity” for tax — but foreign-owned disregarded entities have a special rule. You must file:

  • Pro-forma Form 1120 (US corporate return, mostly blank) with Form 5472 (Information Return of a 25% Foreign-Owned US Corporation) — due April 15
  • The $25,000 penalty under IRC §6038A applies per year for a missing or substantially incomplete Form 5472, even at $0 revenue

This is the single most-missed filing for non-resident founders. “I made nothing” is not a defense the IRS accepts.

What about US-resident owners at $0 revenue?

If you’re a US resident with a single-member LLC and genuinely no income, you generally report on Schedule C of your personal return — with $0 income, there may be nothing to file for the business itself. Multi-member LLCs taxed as partnerships still file Form 1065 and issue K-1s even at a loss. And S-corps file Form 1120-S regardless — a late 1120-S costs $255 per shareholder per month for returns due in 2026.

Do state filings still apply at $0 revenue?

Yes — every state fee and report is due whether you earned a dollar or nothing:

  • Delaware: $400 annual tax, due June 1
  • Wyoming: $60 minimum annual license tax
  • California: $800 franchise tax — yes, even at $0 revenue
  • Missouri and New Mexico: $0 — no annual report, no fee

Dissolving the LLC is the only way to stop the clock; letting it sit “inactive” doesn’t pause state fees or IRS filings.

What should you do before year-end?

Get an EIN if you don’t have one (free from the IRS; non-residents apply by fax, 4–8 weeks), confirm your state report is filed, and line up your federal filings. Epics Deals tax filing starts at $120 — including the pro-forma 1120 + 5472 package most non-resident owners need.

Frequently Asked Questions

Can the IRS really fine me $25,000 if my LLC made nothing?

Yes. The Form 5472 penalty applies to foreign-owned disregarded entities per tax year, regardless of income. It is one of the steepest fixed penalties in the small-business tax code.

Do I need an EIN if my LLC has no revenue?

Yes — you need an EIN to file the 1120/5472 package, and banks require one to keep the account open. No EIN means no compliant filing.

Should I just dissolve my LLC instead of filing at $0?

If the business is truly dead, dissolving stops future state fees and federal filings — but you still owe filings for every year the LLC existed, including the final year. Dissolution doesn’t erase past obligations.

Does $0 revenue mean no 1040-NR either?

If you had no US-source income effectively connected with a US trade or business, you generally have no 1040-NR requirement — but the 1120/5472 entity filing is separate and still required for foreign-owned LLCs.
