The US LLC Deadlines Nobody Tells You About (And a Free Tool That Tracks Them All)

Most founders form their US LLC, get the EIN, open the bank account — and then hear nothing until a penalty letter arrives. The truth: your LLC has a calendar of deadlines from day one, and nobody sends you reminders.

Here are the ones that catch people out:

1. Federal tax filing — every year, even at $0 income. Multi-member LLCs file Form 1065 by March 15. Single-member LLCs file by April 15. Zero revenue does not mean zero filing.
2. Form 5472 + Form 1120 — the foreign-owner trap. If you are a non-US owner of a single-member LLC, you owe Form 5472 with a pro-forma Form 1120 every year by April 15 — even with no income at all. The penalty for missing it starts at $25,000. This is the single most expensive “I didn’t know” in US company compliance.
3. Your state’s annual report or renewal. Every state runs its own schedule — Delaware on June 1, Florida by May 1, many states on your formation anniversary. Miss it and your company falls out of good standing; some states dissolve it.
4. Your ITIN. An ITIN expires if it is not used on a tax return for three consecutive years. File yearly and it stays alive.

And one deadline you can forget: BOI. FinCEN removed Beneficial Ownership Information reporting for US companies. If a service is still charging you for BOI filings, that is a red flag.
