Forming your US LLC is the easy part. A few forms, a state fee, and you’re in business — at least on paper.
Staying in business is where founders get hurt. Every year, thousands of LLCs get penalized, suspended, or quietly dissolved — not because the business failed, but because the founder didn’t know what keeps an LLC alive after formation day.
Walk with me through the three things that matter. Most founders only know about one.
1. Your Registered Agent
Every US state requires your LLC to have a registered agent — a real point of contact with a physical address in the state, available during business hours to receive legal and government documents.
This is the one founders skip because it sounds like paperwork. It’s not. Your registered agent receives:
- Lawsuits and legal notices (miss one and you can lose by default judgment)
- Tax notices from the state
- Annual report reminders and compliance warnings
No agent, or an agent who doesn’t forward your mail, means you find out about problems when it’s already expensive. If you’re a non-resident founder without a US address, this isn’t optional — it’s the law in all 50 states.
2. Your EIN
The EIN — Employer Identification Number — is your company’s US tax ID. Think of it as your LLC’s Social Security Number.
You need it to:
- Open a US business bank account (no bank will touch you without one)
- Hire employees or contractors properly
- File US taxes for your LLC
- Build business credit
Here’s what surprises non-resident founders: you do NOT need a Social Security Number or a US address to get an EIN. The IRS issues EINs to foreign-owned LLCs every day — it just takes the right application, filed the right way. Get it wrong and you’re waiting months.
3. Your Annual Filings
This is the silent killer. Almost every state requires your LLC to file something every year — usually called an annual report — and pay a state fee with it. Deadlines and fees vary wildly:
- Wyoming: ~$60/year
- Delaware: $300/year
- California: $800/year (yes, really)
Miss the deadline and the penalties stack up fast. Ignore it long enough and the state dissolves your LLC — your contracts, your bank account, your liability protection, gone. All of it fixable for a small yearly filing if you just stay on top of it.
The Recap
Registered agent. EIN. Annual filings. Three things, all unglamorous, all non-negotiable. The founders who treat formation day as the finish line are the ones who get the nasty letters in year two.
The good news: none of this is hard when someone handles it for you. That’s literally what we do — formation for $130 + state fee, EIN sorted, registered agent guidance, and compliance handled so your LLC stays alive and clean year after year.
