New York requires every new LLC to publish notice of its formation in two newspapers — one daily, one weekly — designated by the county clerk, once a week for six consecutive weeks, within 120 days of formation. Then you file a Certificate of Publication with the Department of State ($50). Skip it and your LLC loses its authority to do business in New York.
How the rule works
- Form your LLC with the NY Department of State ($200 filing fee).
- Within 120 days, arrange publication in two newspapers in the county of your LLC’s office — the county clerk designates which papers qualify.
- Run the notice once a week for six straight weeks. The notice includes your LLC name, formation date, county, and registered agent details.
- Get affidavits of publication from both newspapers.
- File the Certificate of Publication ($50) with the Department of State, attaching the affidavits.
What it costs (the part nobody warns you about)
The newspapers charge for the six-week run, and costs vary enormously by county — from a few hundred dollars in upstate counties to well over $1,000 in New York City. This is the most expensive “hidden” cost in US LLC formation, and it’s the main reason founders think twice about New York.
Compliant ways to handle it
- Form in your actual county of operation — the publication must run where your LLC’s office is, so there’s no shopping for a cheaper county after the fact.
- Use a publication service — many registered agent companies bundle the newspaper placement, affidavits, and Certificate of Publication filing for a flat fee, which is usually cheaper than arranging it yourself in NYC.
- Don’t ignore it — an LLC that skips publication can be suspended from doing business in New York, which voids contracts and blocks lawsuits in your favor until cured.
Should you still form in New York?
If you actually operate in New York, yes — forming elsewhere doesn’t exempt you, because a foreign LLC doing business in NY must register there anyway (and publication applies to the registration too). If you don’t operate in New York, form in a cheaper state and skip the whole requirement.
Frequently asked questions
Does the publication requirement apply to corporations too?
No — this is an LLC (and PLLC) requirement. New York corporations don’t publish.
What happens if I miss the 120-day window?
Publish late and file the certificate anyway — late compliance beats none. But don’t wait: operating without authority creates legal exposure.
Can I use any newspaper?
No. The county clerk designates the qualifying papers — one daily and one weekly in your county.
Is there really no way around it?
The only compliant “way around it” is not forming or operating in New York. Within NY, publication is mandatory.
