BOI Reporting Is Over: What US LLC Owners Actually Owe in 2026

BOI reporting is over for US LLCs. FinCEN’s August 2026 final rule ended beneficial-ownership reporting for domestic US companies, so no BOI report is due from your LLC — this year or going forward. What still matters in 2026: your state’s annual report, a maintained registered agent, and (for foreign-owned LLCs) the IRS Form 5472 filing.

What actually happened with BOI

The Corporate Transparency Act’s BOI rule went through years of court fights and deadline changes before FinCEN’s final rule in August 2026 removed the reporting requirement for US companies entirely. If a formation service or blog still lists “file your BOI report” as a 2026 compliance deadline, that information is outdated — one less filing to worry about, not one more.

What you still owe in 2026

BOI’s end didn’t cancel your other obligations. The three that actually matter:

  1. State annual report (or equivalent): nearly every state requires a yearly filing — fees range from $0 to $800 depending on the state, and late penalties are steep. This is the deadline that actually dissolves LLCs when ignored.
  2. Registered agent: you must maintain one with a physical in-state address at all times. Lose your agent and the state can’t reach you — which is how owners discover problems months too late.
  3. Form 5472 + pro-forma 1120 (foreign-owned LLCs only): every foreign-owned single-member LLC files this IRS package yearly, even with zero activity. The penalty for missing it is $25,000.

The compliance calendar that replaces the BOI worry

Instead of tracking a dead federal rule, put these on your calendar:

  • Your formation state’s annual report deadline (varies by state — Wyoming is the first day of your anniversary month, Delaware LLCs pay $400 by June 1, Florida files Jan 1–May 1).
  • Your registered agent renewal date.
  • April 15 / October 15 for federal tax filings, plus your state’s tax deadlines.

One afternoon setting calendar reminders beats a year of anxiety about rules that no longer exist.

Frequently asked questions

Do I need to file a final BOI report to close anything out?

No. The requirement itself was removed for US companies — there’s nothing to file and nothing to “close out.”

Does this change anything about my taxes?

No. BOI was a FinCEN ownership registry, separate from IRS tax filings. Your tax obligations are unchanged.

I’m a foreign owner — does BOI’s end affect my Form 5472?

No. Form 5472 is an IRS requirement and is fully separate from the old FinCEN BOI rule. It still applies every year.

What if my registered agent sent me a BOI reminder?

Their information is outdated. Ask them about your annual report and agent renewal dates instead — those are the deadlines that count.
