Why Every Non-Resident Founder Needs a US Business Entity
Stripe. Mercury. PayPal Business. US clients who pay net-30 invoices. Amazon Seller Central. These are the platforms and opportunities that generate real revenue for online businesses worldwide — and most of them require or strongly prefer a US business entity.
Without a US LLC: Stripe is unavailable in your country or limited. US clients feel hesitant wiring money internationally to a foreign account. Platforms like Amazon FBA or Upwork impose limitations on foreign accounts. You lose credibility with enterprise clients who want a US business address on your invoice.
With a US LLC: All of the above becomes accessible. Your business operates in USD, banks at Mercury, accepts payments via Stripe, and invoices US clients from a legitimate US entity — while you remain physically wherever you are.
Step 1 — Form Your US LLC
Your foundation is your LLC. For most non-resident founders, the best states are Wyoming (top privacy, zero state income tax, $62/year maintenance), Delaware (investor-preferred, higher cost), or New Mexico (cheapest option, no annual report). Wyoming wins for the vast majority of online business founders.
What you need: a passport copy and a preferred LLC name. What we do: file your Articles of Organization with the state, appoint your registered agent, and draft your Operating Agreement. Timeline: 3–7 business days. State fees included in our formation packages starting at $149.
Step 2 — Get Your EIN
Your EIN (Employer Identification Number) is your LLC's tax ID, issued by the IRS. You need it for banking, payment processors, and tax filing. Non-residents without an SSN apply via Form SS-4 (fax or mail to IRS) — typical timeline is 1–4 weeks. We prepare and submit the application immediately after your LLC is formed.
While waiting for your EIN, you can: set up your business email and website, create your Stripe account in draft mode, prepare your bank account application documents, and start building your client pipeline. Don't wait passively — use the 2–4 weeks productively.
Step 3 — Open Your US Bank Account
With EIN in hand, apply to Mercury (best option for most non-residents), Relay, or Airwallex. You'll need your LLC formation documents, EIN letter, and a clear business description. Approval typically takes 2–5 business days once documents are complete. Key tip: wait 2–3 weeks after EIN issuance before applying — Mercury verifies EINs with the IRS, and the database takes time to update.
Step 4 — Activate Stripe and PayPal
With LLC + EIN + Mercury account, you're ready to activate payment processors. Stripe activation: register at stripe.com with your business details, link your Mercury account, verify your identity. Stripe pays out to Mercury within 2 business days. PayPal Business: register as a business entity, provide your LLC's EIN, link Mercury for withdrawals.
Now you can accept credit card payments from US clients through your website, your Upwork profile, invoices, and any platform that supports Stripe or PayPal. This is the point where most clients say their revenue immediately increased — they were finally accessible to US clients on their terms.
Step 5 — Find and Win US Clients
A US LLC makes you credible to US clients — but you still need to find them. The channels that work best for non-resident founders in 2026:
- Upwork — The largest marketplace for US businesses hiring remote talent. With a US LLC, you can position yourself as a US-based business owner rather than a freelancer from a developing market. Higher rate brackets, better client quality.
- LinkedIn outreach — AI-assisted personalized outreach via LinkedIn Sales Navigator. Reach US decision-makers directly. Tools like Clay + AI generate hyper-personalized messages at scale.
- Cold email — Apollo.io or Hunter.io to find US business emails, AI to draft personalized cold emails. Works especially well for B2B services: marketing, development, accounting, design.
- Content marketing — SEO blog content (exactly like this article) brings inbound leads from Google and AI search engines. Takes time but generates passive, high-intent leads.
- Referrals — Once you have 2–3 US clients, referrals become your best growth channel. US business culture runs on trusted referrals.
Step 6 — Stay Compliant Annually
Going global isn't a one-time event — it requires annual maintenance. Your key recurring obligations as a non-resident US LLC owner:
- Form 5472 + pro-forma 1120 — due April 15 each year. $25,000 penalty if missed. We file this for all our compliance clients.
- State annual report — Wyoming: $62/year due in anniversary month. We track and file this.
- Registered agent renewal — $50–$150/year after the first year.
- Bookkeeping — maintain records of all LLC transactions throughout the year. Wave (free) or QuickBooks. Clean books = accurate tax filing = no IRS problems.
